Linked Contracts & Supplemental Documents
What Are Linked Contracts?
Linked contracts are supplemental documents that attach to your primary agreement to define specific tasks or modify existing terms. They include statements of work that describe project‑specific activities, deliverables and timelines; change orders that add, remove or substitute portions of the work and adjust price or schedule; and amendments or addenda executed after the contract to add new clauses or update obligations. These documents reference the original contract and become part of it once signed.
By separating detailed scopes and changes into linked documents, you keep your master agreement concise while still ensuring that all parties are aligned on the work to be performed. Linked contracts reduce confusion and provide a clear audit trail of modifications over the life of a project.
Why Use Linked Contracts?
There are several advantages to using linked documents:
- Clarity: Each SOW or change order can describe a specific phase or change without cluttering the main contract.
- Flexibility: New statements of work, change orders or amendments can be added over time as the project evolves.
- Audit Trail: Linked documents provide a record of how the project scope, pricing or deadlines have changed over time.
- Enforceability: Because each document references the master agreement and is signed by the parties, it becomes legally binding.
Key Types of Linked Contracts
- Statement of Work (SOW): A narrative description of project‑specific tasks, deliverables, timelines and detailed requirements.
- Change Order: A document that modifies the scope, price or completion date of an existing contract once approved.
- Amendment: A document executed after the main contract that adds or modifies provisions and becomes part of the original agreement.
